Terms of Service

Please read these Terms of Service carefully before using our accounting software services.

Acceptance of Terms

By accessing or using Accounter's services, website, or software (collectively, the 'Services'), you agree to be bound by these Terms of Service ('Terms'). If you disagree with any part of the terms, you may not access the Services. These Terms constitute a legally binding agreement between you and Accounter regarding your use of our Services.

User Accounts and Registration

To use certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We recommend using strong passwords and enabling two-factor authentication where available.

Account Types

We offer different account types based on your needs, including individual accounts, business accounts, and accounts for accounting professionals. Each account type may have specific terms and features.

Administrative Users

If you register on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you designate other users as administrators, they will also have the ability to manage your account and access your data.

Subscription and Payments

Some of our Services require payment of fees. You agree to pay all fees in accordance with the pricing and payment terms presented to you. Unless otherwise stated, all fees are quoted in US Dollars and are non-refundable. You will provide us with a valid payment method at the time of subscription. We may change our fees and payment policies by notifying you at least 30 days before the changes take effect.

Subscription Plans

We offer various subscription plans with different features and capabilities. You can upgrade, downgrade, or cancel your subscription at any time, subject to the terms of your specific plan.

Payment Processing

We use third-party payment processors to process payments. Your use of these services may be subject to additional terms and conditions imposed by these payment processors.

Taxes

All fees are exclusive of taxes, which may be added to the fees charged to you based on applicable laws. You are responsible for all applicable taxes, including sales tax and value-added tax (VAT).

Late Payments

If your payment is declined or if you fail to pay fees when due, we may suspend or terminate your access to the Services. You agree to reimburse us for all collection costs and interest for any overdue amounts.

Software License and Access

Subject to these Terms, Accounter grants you a limited, non-exclusive, non-transferable, revocable license to use our Services for your internal business purposes. This license is specific to you and may not be sublicensed or resold. All rights not expressly granted to you are reserved by Accounter and its licensors.

Restrictions

You may not: (a) modify, copy, or create derivative works based on the Services; (b) reverse engineer, decompile, or otherwise attempt to extract the source code of our software; (c) remove any proprietary notices or labels; or (d) use the Services in any manner that could damage, disable, or impair our services.

Software Updates

From time to time, the Services may automatically download and install updates from Accounter. These updates are designed to improve, enhance, and further develop the Services and may include bug fixes, enhanced functions, new software modules, and new versions.

User Content and Data

Our Services allow you to input, upload, and store content and data ('User Content'). You retain all rights to your User Content. By uploading User Content, you grant Accounter a non-exclusive, worldwide, royalty-free license to use, process, and display your User Content solely for the purpose of providing the Services to you. Accounter does not claim ownership of any User Content that you upload, but you are responsible for ensuring that your User Content does not violate any third party's rights.

Backup Responsibility

While we implement reasonable data backup procedures, you are ultimately responsible for backing up your User Content. We recommend regularly exporting and saving copies of your important data.

Data Retention

We may retain your User Content for a reasonable period after you stop using our Services, as required by law or as necessary for legitimate business purposes.

Intellectual Property Rights

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Accounter and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Accounter.

Prohibited Uses

You agree not to use the Services: (a) in any way that violates any applicable federal, state, local, or international law or regulation; (b) to transmit, or procure the sending of, any advertising or promotional material without our prior written consent; (c) to impersonate or attempt to impersonate Accounter, an Accounter employee, or any other person or entity; (d) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services; or (e) to attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services or any server, computer, or database connected to the Services.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services to conduct any activity that would constitute a civil or criminal offense or violate any local, state, national, or international law.

Security Testing

You may not perform any security testing including penetration testing or vulnerability scanning of our Services without our prior written consent.

Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ACCOUNTER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACCOUNTER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. IN NO EVENT WILL ACCOUNTER, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Accounter, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

Effect of Termination

Upon termination of your account, we may delete any content or other materials associated with your account and we will have no obligation to maintain or forward any information stored in your account.

Survival

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the state of [State], United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

Arbitration

The arbitration will be conducted by the American Arbitration Association (AAA) under its rules. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. The arbitration shall be conducted in the English language and the arbitral decision may be enforced in any court.

Class Action Waiver

YOU AND ACCOUNTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Miscellaneous

These Terms constitute the entire agreement between you and Accounter regarding our Services and supersede any prior agreements. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
